This Agreement Paper is made on this day is set forth in regards to your employment. We are pleased to inform you on your appointment on a 3 years (Renewable) Engineer commencing 15th October, 2018. This agreement also hereby confirms your appointment with Hilton Hotels & Resort. As you know, you will be employed under terms stated below .This letter will set out the terms and conditions of your employment.

1. Position. Offered position commencing upon 15th October, 2018 and continuing thereafter until termination pursuant to Section 7. You will have overall responsibility for the management of Employer and will report directly to its Board of Directors. You are expected to devote full working time and attention to the business of this Company, and will not render services to any other business without the prior approval of the Board of Directors or, directly or indirectly, engage or participate in any business that is competitive in any manner with the business of this Company. As an employee, you will also be expected to comply with and be bound by the Management's personnel policies, operating policies, procedures and practices that are from time to time in effect during the term of employment.

2. Changes in Terms and Conditions of Employment: Your terms and conditions of employment may be amended from time to time, as the needs of the Employer require. Your performance will be reviewed with you on an annual basis, which is the time at which any salary changes will ordinarily be made.

3. Cash Compensation.
Your annual base salary from the Commencement Date will be ₤72,000 per annum payable at ₤6,000 per month. Salary will be payable in accordance with Company’s normal payroll practices with such payroll deductions and withholdings as required by law. Following the Board’s annual review of your performance, in subsequent years of employment the Board of Directors, at its own discretion, will determine employee annual base salary increment and bonus compensation based on the Board’s review of your performance for the preceding year.

4 Other Allowances. You will receive other benefits other than your basic salary which makes up your total CTC which covers below benefits which will be calculated base on Company’s policy · Joining Bonus

5. Reimbursement of Expenditures: The Management will reimburse you in accordance with its policies for all reasonable expenses actually and properly incurred by you in the performance of your duties under this agreement. For all such expenses, you will furnish the management statements and vouchers as and when required.

6. Services: You will devote the whole of your time, attention and ability to the business of the Company and will well and faithfully serve the Company and use your best efforts to promote its interests.

7. Termination of Employment. Your employment with this Company will be at-will and may be Board of Directors at any time for any reason as follows: 

(a). You may terminate this employment upon written notice to the Board of Directors at any time for "Good Reason," as defined below (an "Involuntary Termination").

(b). You may terminate employment upon written notice to the Board of Directors at any time in your discretion With good reason ("Voluntary Termination"). (c). Employer may terminate your employment upon written notice to you at any time following a determination by two-thirds (2/3) vote of the Board of Directors then in office that there is "Cause," as defined below, for such Termination ("Termination for Cause"). (d). your employment will automatically terminate upon death or upon disability as determined by the Board of Directors ("Termination for Death or Disability"); provided that "disability" shall mean employees inability to perform his/her Responsibilities for a period of 90 consecutive days or 90 days in the aggregate in any 12-month period.

8. Independent Legal Advice: You agree that you have been advised by the Establishment that you should obtain independent legal advice in connection with the terms of this agreement. You confirm that you have either obtained such advice or chosen not to do so and that you fully understand the terms and conditions set out herein and agree to be bound by them.

9. Confidential Information.
You acknowledge that in the performance of services, you may be granted access to, or there may be disclosed to you, information, including research plans, fund proposals, methodology, know-how, data, trade secrets, technical information or other information that is confidential in nature and of great proprietary and competitive value to the Company. All such information, whether or not such information is reduced to writing, patented, copyrighted, or trademarked, will be deemed “Confidential Information” unless the same was publicized You will not disclose to any third party any Confidential Information without Management's written consent and will not use Confidential Information except to perform obligations under this Agreement. You will use reasonable efforts to keep Confidential Information in confidence. Notwithstanding anything in this Agreement, you may disclose Confidential Information pursuant to a court order, provided that you (a) first provide the Management with prior written notice and a reasonable opportunity to oppose such disclosure; and (b) reasonably cooperates with management to limit disclosure of the Confidential Information. For the purposes of this Agreement, Work Product is a considered Confidential Information of the Company. Upon the termination of this Agreement, you will promptly notify Employer of any Confidential Information in your possession or control, and in accordance with the Company instructions will promptly return all such Confidential Information. Executive shall not retain any copy, duplicate, or note memorializing any such Confidential Information.
