LAGONDA LIMITED EMPLOYMENT AGREEMENT

THIS EMPLOYMENT AGREEMENT (this “Agreement”) is entered into by and between Lagonda Limited, a United Kingdom incorporated company (the “Company” or “Employer”),
And xxxxxxxxxxxxx (the “Employee”).

RECITALS

WHEREAS, the Employer is in the business of Engineering and Construction (“the Company’s Business”); and

WHEREAS, the Company seeks to enter into an agreement with Employee to engage his/her to serve in the Company on the terms and conditions stated herein; and

WHEREAS, the Employer desires to employ Employee on the terms and conditions set forth herein; and

WHEREAS, the Employee desires to be employed by Employer in such capacity on such terms and conditions.
AGREEMENT

For good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged the parties hereto intending to be legally bound, agree as follows:

Job Position/Designation: Administrative Officer

Job Commencement: Employee hereby accepts the job on the terms and conditions set forth herein commencing on March 11th, 2019 and ending on the date on which your employment is terminated (11th of February 2024). If the Management of Lagonda Limited does not notify you in writing before (11th of February 2024) that your employment contract will not be renewed, it shall be deemed that Management

has renewed your employment contract for two (2) years extending from the termination date set forth above.
Work Hours: Employee official work hours run from Mondays through Saturdays, Time: 8:30am to 4:30pm with break period of one hour only, beginning from 12:00noon to 1:00pm.

Job Location: Employee’s official job location shall be at Lagonda Limited, Banbury Road, Gaydon, Warwick CV35 0DB unless the 

Employer reserves the right to change this to any place within.

Probationary Period: The first two months of employment will be a probationary period, during which the Employee’s performance will be monitored. During this time, Employee will receive full Salary and complete benefits in accordance with company’s polices. The probationary period may be extended by the Employer. During the probationary period this employment may be terminated by either party giving one week’s notice to the other in writing.

Duties/Job Responsibilities: Employee shall concentrate on his/her duties and such other responsibilities consistent with Employee’s position as may reasonably be assigned to him/her from time to time by the Employer while being employed. These duties and job responsibilities may be amended from time to time in the sole discretion of the Employer, subject to formal notification of same being provided to the Employee. Employee shall at all times comply to the best of Employee’s knowledge with all material applicable laws, rules and regulations that are related to Employee’s responsibilities assumed hereunder:

 Balancing office budgets
 Arranging travel, meetings and appointments
 Ordering stationery and equipment (depending on how often staff nick it, this could be a regular thing)
 Supervising and monitoring the work staff
 Discussing problems with staff
 Reporting to management
 Reviewing and implementing the company's health and safety policy
 Arranging training for staff.

Compensation and Benefits: As compensation for Employee’s services, Employee shall be paid the following compensation below:

a. During the term of this Agreement, Employee shall be paid an Annual Base Net Salary of Sixty Thousand British Pounds Sterling (£60,000.00GBP), payable periodically (monthly) in accordance with Lagonda Limited regular payroll policies, but in no event less frequently than once every month.

b. In addition to the Base Salary, Employee will be eligible to receive discretionary allowances and bonuses from time to time as determined by Employer at its discretion.

c. Employee shall be afforded health insurance and retirement benefits in accordance with the prevailing market practice in London, United Kingdom and the applicable laws and regulations.

d. Employer shall either provide to the Employee or pay the full premium for a comprehensive family health insurance policy provided under Employer's existing family health insurance plan.

e. Employee shall be entitled to up to thirty-five (35) days of paid vacation days in any given calendar year provided that Employee remains a full time employee during such period of time. If Employee’s employment falls short of twelve months in any given calendar year, Employee’s entitlement to thirty-five (35) days of vacation days shall be reduced on a pro rata basis.

f. The Employee shall be entitled to sick leave and emergency leave according to the regular policies and procedures of the Employer. Additional sick leave or emergency leave over and above paid leave provided by the Company shall be unpaid and shall be granted at the discretion of the management.

g. One months’ salary (Inclusive of all relocation allowances & benefits) shall be paid in advance before Employee relocates to job location after confirmation of procurement and verification of all required employment and immigration documents. All payments of salary after assumption of duty in the United Kingdom shall be paid 100% into a bank account to be provided by the Employee. This is in line with the United Kingdom Expatriate Financial Statutory Laws.
Reimbursements of Expenses: Employee shall be reimbursed for all reasonable expenses for travel, lodging, entertainment, and other business expenses in connection with Employer’s business to the extent such expenses are consistent with Employer’s internal reimbursement guidelines.

 The Employer shall reimburse the Employee in full amount for all reasonable expenses incurred during the process of travel and procurement of immigration documents and any other required certification. Employee will maintain records and written receipt as required by the Company’s policy and reasonably requested by the board of directors to substantiate such expenses.

 Expenses made by the Employee in relation to household equipments, pets, and other personal assets shall not be reimbursed as these would be considered as Employee’s responsibility.

 Employee is strongly advised to keep original receipts and evidence of payment(s) made before arrival in the United Kingdom as reimbursement applications made without receipt or evidence of payment shall be denied.

Accommodation and Feeding: The Employee is expected to reside at the Lagonda Limited Staff Quarters if they so wish as this will enable him/her settle down properly on the job and also familiarize with the working environment within the shortest period of time. There are single bedrooms, double bedrooms and duplex options available for the Employee to choose from. Family package status is also available for Employee that wishes to relocate with family.

All accommodations at the Lagonda Limited Staff Quarters are fully furnished to modern home standard and all accommodations are fully equipped with modern home facilities. Employee is entitled to meals free of charge at the general staff canteens three (3) times daily.

Ethical Conduct: Executive shall conduct business in an ethical manner by:

 Avoiding conflicts of interest;

 Complying with the Company’s Code of Conduct and Corporate Governance Principles;

 Refusing to accept, and reporting to the Employer the offering of, anything of material value,
including a gift, loan on preferential terms, reward, promise of future employment, favor or service which would influence a reasonably prudent person in the discharge of his duties for the Employer or which is based on any understanding that his action would be influenced; and

 Abiding by policies and guidelines relating to ethical conduct which the Employer may issue as it deems appropriate.
Termination: Notwithstanding Section 1 above, Employee’s employment with Employer shall be terminable at any time as follows:

 For just cause at common law, in which case the Employee is not entitled to any advance notice of termination or compensation in lieu of notice.

 Without just cause, in which case the Employer shall provide the Employee with advance notice of termination and full compensation in lieu of notice.

 The Employee may terminate his/her employment at any time by providing the Employer with at least eight (8) weeks advance notice of his/her intention to resign.

Confidentiality and Non-Disclosure Covenants: The Employee acknowledges that, in the course of performing and fulfilling his duties hereunder, he may have access to and be entrusted with confidential information concerning the present and contemplated financial status and activities of the Employer, the disclosure of any of which confidential information to competitors of the Employer would be highly detrimental to the interests of the Employer. The Employee further acknowledges and agrees that the right to maintain the confidentiality of such information constitutes a proprietary right which the Employer is entitled to protect. Accordingly, the Employee covenants and agrees with the Employer that he will not, during the continuance of this agreement, disclose any of such confidential information to any person, firm or corporation, nor shall he use same, except as required in the normal course of his engagement hereunder, and thereafter he shall not disclose or make use of the same.

a) Confidential Information: The Company considers one of its most valuable assets to be its confidential and trade secret information, including, but not limited to, potential real estate acquisition targets and client lists of the respective properties. Confidential Information shall not include information which has: (i) previously been disclosed by the Company in published papers; (ii) becomes part of the public domain, by publication or otherwise; and (iii) not due to the direct or indirect acts or omissions of Employee. The parties to this Agreement recognize that the Company has invested and will invest considerable amounts of time and money in attaining and developing all of the information described above (hereinafter collectively referred to as “Confidential Information”), and any unauthorized disclosure or release of such Confidential Information in any form would harm the Company.

b) Non-Disclosure of Confidential Information: Employee shall refrain from directly or indirectly disclosing to any third party, for any purpose other than for the direct benefit of the Company, any of the Company’s Confidential Information during his employ and thereafter, whatever the reason for his leaving the Company’s employment.

c) Confidentiality of the Employer’s Property: Employee recognizes that all of the documents and other tangible items which contain any of the Company’s Confidential Information are the Company’s property exclusively, including those documents and items which Employee may have developed or contributed to developing while employed by the Company, whether or not developed during regular working hours or on the Company’s premises.
Indemnification: Employer will indemnify, defend and hold Employee harmless for all losses, costs, expenses or liabilities based upon or related to acts, decisions or omissions made by Employee in good faith while performing services within the scope of his employment for Employer. Employer’s obligation under this section shall survive any termination of the Employee’s employment.

Complete Agreement: Except as provided below, this Agreement contains the complete agreement and understanding concerning the employment arrangement between the parties and shall supersede all other agreements, understandings or commitments between the parties as to such subject matter. The parties stipulate that neither of them has made any representations concerning the subject matter hereof except such representations as are specifically set forth herein.
Governing Law: The validity of this Agreement and any of the terms or provisions as well as the rights and duties of the parties hereunder shall be governed by the laws of London Special Administrative Region of United Kingdom, without reference to any conflict of law or choice of law principles thereof.

Severability: In the event that any part or parts of this Agreement shall be held illegal or unenforceable by any court or administrative body of competent jurisdiction, such determination shall not effect the remaining provisions of this Agreement which shall remain in full force and effect.

Counterparts: This Agreement may be executed in multiple original counterparts, each of which shall be deemed an original and all of which together shall constitute but one and the same document.

Arbitration: Any dispute, claim or controversy arising in connection with this Agreement shall be settled by arbitration in the United Kingdom in accordance with the United Kingdom International Arbitration Institute (except as modified herein). Arbitration shall be the sole method of resolving disputes not settled by mutual agreement. The determination of the arbitrators shall be final, not subject to appeal, and binding on all parties and may be enforced by appropriate judicial order of any court of competent jurisdiction. Notwithstanding the foregoing, in the event of any claim or controversy arising in connection with this Agreement for which the remedy is equitable or injunctive relief, the aggrieved party shall be entitled to seek injunctive or other equitable relief from any court of competent jurisdiction.

This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom, and in any lawsuit involving this Agreement, you consent to the jurisdiction and venue of any state or federal court located in the United Kingdom. This Agreement represents the entire agreement between the parties and may not be modified or amended without the written agreement of both parties.

This Agreement terminates and supersedes all prior understandings or agreements on the subject matter hereof. This Agreement may be modified only be a further writing that is duly executed by both parties. This Agreement is constructed in accordance with section 8 of British Employment Act 1963. A single arbitrator agreed upon by the parties shall decide any dispute between the parties arising out of this agreement.
